Freechat Coin (FCC) Token Agreement

This Agreement ("Agreement") is entered into by and between the user ("User" or "You") and Freechat ("Platform" or "We"). By acquiring, holding, or using Freechat Coin ("FCC"), You agree to the terms and conditions set forth below.

1. Nature of FCC

1.1 FCC is Not a Security: FCC is not a cryptocurrency, security, or investment product. It functions similarly to virtual credits or points (such as Q-Coins) used within the Freechat ecosystem. FCC is used to access certain features and services within the Freechat platform but is not a substitute for fiat currency as a payment method.

1.2 Blockchain Protocol: FCC operates on a blockchain protocol to ensure transparency, security, and immutability of transactions within the Freechat ecosystem.

2. Total Supply

2.1 Total Issuance: The total supply of FCC is capped at 1 billion (1,000,000,000) tokens. No additional FCC will be created beyond this cap.

3. Acquisition and Use

3.1 Acquisition: Users can acquire FCC through various means as determined by the Platform, such as participation in platform activities, rewards, or promotional events. FCC may also be purchased directly from the Platform under terms specified by Freechat.

3.2 Usage: FCC can be used to access premium features, services, and content within the Freechat platform and can serve as a payment method for transactions within the platform and its ecosystem.

4. Transfer and Exchange

4.1 Transferable: Users can transfer FCC to other users or third-party platforms, subject to the rules and limitations set by the Platform.

4.2 Exchange: FCC cannot be directly exchanged for fiat currency but can be exchanged for other cryptocurrencies. FCC is limited to use within the Freechat platform and its ecosystem.

4.3 Restrictions: FCC cannot be used as a substitute for fiat currency in transactions outside the Platform. Any external transactions must be conducted using legally recognized fiat currencies or other legal payment methods.

5. Compliance with Laws

5.1 Regulatory Compliance: Freechat operates in compliance with U.S. laws and regulations, including those related to virtual currencies and digital tokens. FCC is designed to avoid classification as a security under the U.S. Securities and Exchange Commission (SEC) guidelines.

5.2 User Responsibility: Users are responsible for ensuring that their use of FCC complies with all applicable laws and regulations in their jurisdiction.

6. Disclaimers and Limitations

6.1 No Investment Intent: FCC is not intended for investment purposes. Users should not expect any profit from holding or using FCC.

6.2 No Warranty: The Platform provides FCC on an "as is" basis and disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.3 Limitation of Liability: The Platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from any use of FCC.

7. Termination

7.1 Termination of FCC: The Platform reserves the right to terminate or modify the FCC program at any time. In the event of termination, users will be notified and provided with details on how remaining FCC can be utilized or converted within the Freechat platform.

8. Governing Law and Dispute Resolution

8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United States.

8.2 Dispute Resolution: Any disputes arising out of or related to this Agreement shall be resolved through friendly negotiation. If a resolution cannot be reached, either party may bring the dispute to a court of competent jurisdiction in the state where the Platform is located.

9. Miscellaneous

9.1 Entire Agreement: This Agreement constitutes the entire agreement between You and the Platform regarding FCC and supersedes any prior agreements, statements, or understandings.

9.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By acquiring, holding, or using FCC, You acknowledge that You have read, understood, and agreed to the terms of this Agreement.
