Freechat User Agreement

Definition

FreechatDAO Community: FDao for short, refers to the decentralized organization that operates Freechat.

Freechat: refers to software applications that provide services to users.

User: Refers to users who use the FDao community and Freechat.

Freechat Coin: Refers to the token circulated and issued in Freechat, Fdao community and its associated parties, blockchain organizations, decentralized organizations, etc. using blockchain technology.

FPay: refers to the virtual wallet, payment, and transfer services provided by Freechat used in Freechat.

FUGC: Refers to the user content created in Freechat, including NFT, text, audio, video, music, and other content.

Creation account: refers to an account created by a third-party organization/individual, including NFT, text, audio, video, music, and other content.

Terms of Agreement

Welcome to the Freechat service!

Use of the Freechat service is subject to the following terms of service (hereinafter referred to as "Terms"). Thank you for reviewing these Terms - we hope you enjoy your use. If you have any questions or would like to send us a notice regarding these Terms, please contact us at hello@fc.plus

By using Freechat, you agree to be bound by these Terms between you and the FDao Community.

(Referred to as "we" and "us" and "our" as appropriate).

Please be sure to read these terms, policies, and instructions carefully to fully understand how to use Freechat and under what circumstances you cannot use Freechat. These terms must be followed when using Freechat, and you can use Freechat only if permitted by applicable laws and regulations, no matter where you are. Certain countries or regions restrict the use of Freechat, and some Freechat features are not available in certain countries or regions, which means that it is your responsibility to ensure that the use of Freechat is legal in your region.

By using Freechat, you are deemed to have agreed to these terms. If you disagree with these terms, please do not use Freechat.

Other general terms related to these terms

You may not use Freechat if you are under the age of 13. If you are between the ages of 13 and 18 (or in your jurisdiction, your age is a minor), before you use Freechat, your parents or guardians must (on their own and on behalf of you) agree to these terms.

If you are using Freechat in the name of a company, partnership, association, government, or other organization (hereinafter referred to as your "organization"), please ensure that you have the appropriate authorization and have been authorized to acknowledge that your organization is bound by these Terms. In the above cases, "you" will include your organization.

We will translate these Terms into multiple languages. In the event of any inconsistency between the English version of these Terms and any other language version, the English version shall prevail (to the extent permitted by applicable laws and regulations).

Additional Terms and Policies

A wide variety of services and features are available within or through Freechat, not all of which are operated by us. When using all or part of Freechat's services, you should also abide by some additional terms and policies (hereinafter referred to as "Additional Terms"). With respect to the services and features we operate, we will notify you of additional terms, including those described in this section, as well as other content published in Freechat from time to time. Additional Terms form part of and are incorporated into these Terms.

If you are using any services or features operated by third parties, your use of those services or features will be governed by the terms applicable to the specific service. If you are not sure which terms apply to a particular service, please contact the relevant third party.

Freechat Policies

The following policies are additional to the terms and conditions that govern the use of Freechat.

Privacy Policy - Sets out the policy statement regarding how we collect, store and use your personal information.

Community Policy - sets out the rules of good behavior that apply to the use of Freechat and the FDao community.

Copyright Policy - sets out how we handle intellectual property-related complaints in accordance with the Digital Millennium Copyright Act (DMCA).

Abuse Prevention Policy – sets out how we handle content that does not comply with Freechat Policy.

Child Protection Agreement - sets out how we protect minors and the restrictions we place on them.

Device Permissions Usage List - lists and explains which device permissions we use when using Freechat.

Cookie Policy - sets out how we use our users' habits, what we record and personalized recommendations.

Freechat Coin Agreement - sets out the terms of use and features of Freechat Coin.

Applicable Terms for Specific Freechat Features

Additional terms apply to the use of certain services and features available in or through Freechat. Use of these services and features is subject to additional terms (and these terms). Additional terms specific to these services include:

Content License Agreement - governs the use of avatars, avatars, emoticons, and NFTs (as defined herein) in Freechat.

Open Platform Developer Service Agreement - governs the use of the Freechat developer platform.

E-Commerce Services Agreement - governs the use of Freechat's e-commerce services.

Freechat Out Terms of Service - regulates the use of Freechat Phone.

Freechat Stored Value and Payment Processing Service Agreement - governs the use of the Freechat Wallet.

Country-Specific Additional Terms

If you are a citizen or permanent resident of one of the following countries or territories, the following country-specific additional terms apply to your use of Freechat.

United States.

Australia.

United Kingdom / European Union.

Singapore.

Inconsistency

Based on the following paragraph, to the extent that any Additional Terms conflict with these Terms, the relevant Additional Terms will apply to the extent of such conflict, except as otherwise expressly provided in these Terms or any Additional Terms.

Changes

We may make changes to these Terms (and any applicable Additional Terms) from time to time (for example, due to technical improvements and changes to Freechat (for example, to address security threats) or due to applicable laws and regulations (for example, to reflect applicable consumer rights)), so please be sure to check back to these Terms periodically.

If we consider such changes to be material, we will notify you before the changes take effect (to the extent reasonably practicable) on this page or on the relevant page of the relevant additional terms or policies, or through the Freechat application, or by contacting you directly or by other means. By continuing to use Freechat after we have made changes to these Terms, you agree to be bound by the revised version of these Terms.

Freechat Changes

Due to the continuous development of Freechat and the user experience, we may occasionally:

Add, change or delete Freechat features or services (including whether a feature or service is provided for free); or suspend, suspend or completely terminate Freechat.

You agree that we may take any such action at any time. If we consider any change to Freechat or any of the Services or features to be a reasonably material change, we will notify you before the change takes effect (to the extent reasonably practicable) at https://freechat.world, or by contacting you directly, or through this page or the relevant page of the relevant additional terms or policies, or by other means.

Your Account

You need to create an account to access and use Freechat, the account you create is an account based on Web 3.0 technology, and all security measures such as the key and seed phrase of your account are kept by you, Freechat does not keep information about your key, seed phrase and other security measures, Freechat does not take responsibility for the damage caused by the leakage of your key and seed phrase. Freechat is not responsible for any damage caused by the leakage of your key or seed phrase (including leakage caused by theft, loss, forgetting, robbery, etc.).

You are responsible for: securing your key, seed phrase, and other security information, including passwords and gestures to access your account and Freechat, and any use of Freechat under your account, including any purchase and/or payment obligations that occur under your account. If you discover or suspect that your password or account has been compromised, you are advised to immediately transfer all assets in your account.

Subscriptions and Content Purchases

Certain products or services offered from time to time within Freechat may require payment (including payment for certain additional features offered within Freechat or Freechat). We will set out additional terms that apply to such payments (including terms relating to refunds (if any), billing management, and any consequences of failing to make timely payments). You must comply with all such terms in relation to payments to us in respect of the relevant product or service. You agree that you are solely responsible for all fees and taxes associated with any such payment and that the prices and availability of all items and products are subject to change from time to time.

If the relevant product or service is on an automatic, recurring, or subscription basis, you agree to that (subject to applicable laws and regulations):

Such purchases or payments will normally be paid for by you in advance. except in the case of subscription-based purchases, where we will give you prior notice of automatic renewal.

You authorize us to: (a) maintain information about your selected payment method (e.g., credit card information) on our systems; and (b) bill you for your selected payment method for the relevant time period you have selected or notified you of.

If any payment made through your chosen payment method is declined or returned unpaid for any reason: (a) then we may not provide or suspend the relevant Freechat product or service to you until the payment has been properly processed; and (b) you will be liable for any fees, costs, expenses or other amounts incurred as a result of such declines or returns (which we will automatically charge to you ); and we will provide you with further instructions within Freechat on how to update or cancel the relevant payment method.

We may change any fees for any item or product posted in Freechat (or any part of Freechat) at any time. If you are unable to accept a change in fees, we may not be able to provide the Freechat service (or the relevant part of Freechat) to you.

In accordance with mandatory applicable laws and regulations or as otherwise provided by us in these Terms with respect to a particular product or service in Freechat, in no event will you be entitled to a refund of any amounts paid to us in Freechat for any item or service (whether used or unused).

If you believe that we have charged you in error, subject to applicable law and regulation: (a) you must contact us within 30 days of the date of the relevant charge; and (b) after such 30-day period, all charges in error will not be refunded. We may process your payment on Freechat through third-party services, and we may provide such third parties with information about you in order to process your payment. You agree to abide by the terms and conditions of the relevant third party's payment processing service, as described in the "Third Party Content and Services" section below.

Your Content

When you submit, upload, transmit, or display any data, information, media, or other content ("Your Content") in the course of using Freechat, you understand and agree that:

you will continue to own and be responsible for your Content;

That we will not sell Your Content to any third party;

You grant us and us a perpetual, nonexclusive, transferable, sub-licensable, royalty-free, worldwide license to use Your Content (without payment or charge by us to you) for the purpose of providing, promoting, developing, and attempting to improve Freechat and our other services (including new services that we may offer in the future). All such uses (with respect to your content containing personal information) are in accordance with our Privacy Policy. As part of such license, we may copy, reproduce, host, store, process, rewrite, modify, translate, perform, publish and post your Content in any media and by any means of distribution (including future media and means developed) throughout the world;

You grant other Freechat users a non-exclusive license to enter and use your Content within Freechat in accordance with these Terms and the functionality of Freechat;

We may share your content with third parties who assist us with our cooperation in accordance with the Privacy Policy to help provide, promote, develop and improve Freechat;

We will use the name you submit for your content (whether that is your account name, real name, or otherwise); and when you submit your content, it is subject to these terms, including our Freechat Acceptable Use Terms;

In addition, you agree that we (subject to these Terms, our Privacy Policy, and applicable laws and regulations):

retain and continue to use your Content after you stop using Freechat; it may be necessary to retain or disclose your Content (a) to comply with applicable laws and regulations; (b) to comply with a court order, subpoena, or other legal processes; (c) to respond to lawful requests from governmental authorities, law enforcement agencies or similar bodies; or (d) when we reasonably believe it is necessary to comply with applicable laws and regulations including, if applicable, orders, requests and other legal process issued or made pursuant to a mutual legal assistance treaty or similar lawful means. For further details on how we retain or disclose your Content, please refer to our Law Enforcement Data Request Guidelines and Governmental Request Policy); we may not be able to enforce these Terms or protect our or We may need to retain or disclose your Content to enforce these Terms or to protect our rights, property, or safety or those of other Freechat users.

You understand that even if you request the removal of Your Content from Freechat, it may take some time for us to do so or we may not be able to do so due to technical and administrative issues, for example, we may not be able to prevent third parties from storing or using Your Content that you have made public through Freechat. More information about your rights with respect to your content is set forth in the Privacy Policy.

We have the right to block or remove your content for any reason, including as we deem appropriate, as required by applicable laws and regulations, or in accordance with the Copyright Policy and Freechat's Acceptable Use Terms. We reserve the right to determine the visibility, status or ranking of your Freechat content.

Responsible for Your Content

You are solely responsible for your content. We are not responsible for keeping backup copies of your content, so we recommend that you always keep a backup copy of your content.

You must always ensure that: (a) you have the right to reproduce, process, transmit, access, publish, display and use your Content and grant us and other third parties the rights set forth in these Terms; and (b) your Content ( and our use of your Content pursuant to these Terms) shall not violate or violate any applicable laws or regulations or infringe the rights of any person.

Infringement and Copyright Protection

We comply with the provisions of the Digital Millennium Copyright Act (17 U.S.C. 512, as amended) applicable to Internet Service Providers (“DMCA”). If you have an intellectual property-related complaint about any content posted on Freechat, please follow the instructions contained in our Copyright Policy.

General Provisions

When you use Freechat, you can access content from a variety of sources – it may be content posted by other Freechat users, content provided by third parties in Creation Accounts or Mini Programs, content you see in advertisements produced by third parties, or any other third-party content that you may see or access while using Freechat (we refer to all of these as "Third-Party Content").

All Third-Party Content must comply with our policies and applicable laws and regulations. If we receive a complaint about Third Party Content, or if we discover any problems with Third Party Content, we may review that Third Party Content. We may take steps to ensure that Third Party Content complies with our Policy or if we believe that Third Party Content violates our Policy (for example, if we believe that Third Party Content infringes intellectual property rights or Third Party Content is alleged to infringe intellectual property rights, or if Third Party Content is determined to be indecent, defamatory or libelous, or if Third Party Content infringes any rights, or if Third Party Content poses any risk to Freechat's security or performance), we may remove or refuse to provide or link to the Third Party Content.

You should be vigilant when accessing, using, or consuming third-party content. We cannot fully review third-party content prior to publication, so if you believe any third-party content is inaccurate, misleading, defamatory, objectionable, or illegal, please let us know immediately. Please also note that third-party content and any other information or content that you access through Freechat and are not posted by you may be owned by third parties and you do not have any rights in any such content solely by virtue of accessing the content on Freechat. You should always respect the rights of others when using Freechat - if you want to use content in a particular way, you should always seek permission from the relevant rights holders.

The Freechat platform also provides a variety of third-party products and services, such as Mini Programs provided on the Mini Program Platform; Creation Accounts, content platforms; websites provided, promoted, or linked through Freechat (including any associated platforms or services of Freechat); Other products and services offered or advertised by third parties. These products, services, and websites are operated by third parties, and we cannot guarantee their quality, reliability, or suitability. If you have any questions, complaints, or questions while using or interacting with these third-party products and services, you should contact the relevant third party operating such products and services directly, and we assume no responsibility for your use of these products and services or any relationship you may enter into with any such third party, including any payment obligations or fees you may incur in connection with your use of such third party products and services. Products and services provided by third parties, or third-party content, may also be subject to other third-party terms, such as the terms of the original or original third-party for such content and services, or the terms of promotions in Freechat, Or the terms of your use of the Freechat login function provided by a third party, or the terms of use of any applet provided by a third party. You are solely responsible for reviewing and complying with the terms and conditions of any such third party.

In accordance with these Terms, we reserve the right, at our sole discretion, to remove any content, programs and/or services provided within Freechat (including Freechat-associated platforms or services) without prior notice.

Creation Account and Mini Program

Creation account and mini program function services accessed through Freechat. The content in such Creation Accounts and Mini Programs is registered, developed, operated, and owned by third parties unrelated to Freechat (unless otherwise stated in the relevant Creation Accounts or Mini Programs). When you interact with such Creation Accounts and Mini Programs, your use of relevant Creation Accounts and Mini Programs will be governed by the terms made by such third-party developers for relevant Creation Accounts and Mini Programs rather than these Terms.

Freechat Payment (FPay)

If you are a Freechat payment user, you can pay through the Freechat platform. The use of Freechat payment services is subject to the "Freechat Payment User Agreement".

Freechat Advertising Content

Freechat may contain advertising or commercial content. You agree that: (a) we may include, display, and otherwise disseminate advertising or commercial content within Freechat and (where reasonably practicable) identify such advertising or commercial content; and (b) if we as explained in more detail in our Privacy Policy, we use targeted advertising to try to provide advertising that is more relevant and useful to you.

Our Intellectual Property Rights

All Freechat software (including any future updates, upgrades, and new versions of all such Freechat) is open-source software and follows the MIT protocol.

Freechat's Use of Your Device

For us to provide the Freechat service to you, Freechat may require virtual access and/or use of the relevant device you use to access Freechat (for example, a cell phone, tablet or desktop computer), for example, by using your device's processor and storage device to complete the relevant Freechat software installation, or by accessing your address book in order to provide certain interactive features within Freechat.

We may provide more information about how Freechat is used and accessed on your device within Freechat or in other ways (for example, through the relevant app store as part of the installation process of Freechat on your device). You agree to grant us such access and use of your Device, and we will not be able to provide you with the Freechat Services (or certain features within Freechat) if you do not grant us such use or access.

We treat any personal data (as defined in the Freechat Privacy Policy) on the devices used or accessed in accordance with our Freechat Privacy Policy.

You may need a sufficient Internet connection to authenticate your Freechat account or to use Freechat, and you may also need to activate certain features within Freechat in the manner described in Freechat. Failure to comply with such requirements may prevent you from using certain features within Freechat.

Please note that we are not responsible for any third-party fees you may incur in connection with your use of Freechat or the Freechat Software, including fees from any of your Internet and telecommunications service providers.

Third-Party Software and Connections

You are solely responsible for any software (whether your own or provided by a third party) used in connection with Freechat, including any third-party software or services provided through Freechat, such as the applets provided within the applet platform ("Third Party Software").

Please note that we are not responsible for any damage or loss caused by your use of Third-Party Software and do not endorse, support, or guarantee the quality, reliability or suitability of any Third-Party Software. You must comply with any terms and conditions that apply to Third Party Software.

We do not provide any technical support for any Third-Party Software. If technical support is required, please contact the relevant third-party provider.

You will need a sufficient Internet connection to authenticate your Freechat account or to use Freechat and may be required to activate certain features within Freechat in the manner described in Freechat. Failure to comply with such requirements may prevent you from using certain features within Freechat.

Please note that we are not responsible for any third-party fees you may incur in connection with your use of Freechat or the Freechat Software, including fees from any of your Internet and telecommunications service providers.

Warranty and Disclaimer

We guarantee that Freechat services will be provided to you with reasonable maintenance and technology.

EXCEPT FOR THIS WARRANTY, TO THE EXTENT PERMITTED BY APPLICABLE LAWS AND REGULATIONS, Freechat (including any Freechat software) is provided "AS IS" and "AS AVAILABLE", and we make no claim to Freechat, any Freechat software, or any data, media or other Content submitted, transmitted or displayed by Freechat represents, warrants or makes any promises, including any representations, warranties or promises that: (A) Freechat or the Freechat software will operate continuously, be secure or be error- or virus-free; (B) Freechat or the Freechat software will be compatible with your device; or (C) Freechat or the Freechat software will be of merchantable quality, fit for a particular purpose or not infringing anyone's intellectual property rights. To the extent permitted by applicable laws and regulations, you disclaim any and all implied representations, warranties and undertakings.

Liability to Freechat

TO THE EXTENT PERMITTED BY APPLICABLE LAWS AND REGULATIONS, OUR AGGREGATE AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR FREECHAT (INCLUDING ALL FREECHAT SOFTWARE) IN ANY EVENT SHALL NOT EXCEED THE HIGHER OF THE FOLLOWING: (A) the amount paid by you for the use of Freechat or Freechat software 6 months prior to the date of your last claim; and (B) $100 ($100).

To the extent permitted by applicable laws and regulations, in no event shall we or our affiliates be liable for the following damages:

With respect to these Terms or Freechat or Freechat Software, damage or loss arising from: (A) any natural disaster such as floods, earthquakes, global pandemics or epidemics; (B) any social events such as war, unrest or government action; (C) any computer virus, Trojan horse or other damage caused by malicious programs or hacking; (D) any malfunction or malfunction of our software or your software, system, hardware or connection; (E) Freechat or the improper or unauthorized use of the Freechat software; (F) the use of Freechat or the Freechat software in violation of these Terms; (G) other reasons beyond our reasonable control or foreseeability; or (H) failure to save or backup any data or other content;

any loss arising from any content, programs, or services provided by any party (other than us or our affiliates);

Any unforeseen, indirect, special, consequential, exemplary, or punitive loss or damage. For the purposes of these Terms, loss or damage is foreseeable if it is apparent or at the time of entering the contract that we and you both knew that such loss or damage might occur; and/or any: loss of use; Loss or Interruption of Business; Loss of Revenue; Loss of Profits; Loss of Goodwill; Loss or Destruction of Content or Data.

Except as may be exempted, limited, or excluded in accordance with applicable laws and regulations, nothing in these Terms shall limit or exclude any of the following liabilities:

any liability for fraud;

Any negligent liability resulting in death or personal injury;

Liability for any gross negligence or willful violation of law;

or any other liability that cannot be waived, limited or excluded under applicable laws and regulations.

Notwithstanding anything else in these Terms, these Terms do not limit or exclude any of your statutory rights (including any rights under applicable consumer protection legislation) in your jurisdiction, so long as such statutory rights are not subject to applicable laws and regulations Scope of Exclusions or Exemptions.

You agree that you (and your organization, if you use Freechat or Freechat software on behalf of such organization) indemnify us against any claims, suits, actions, demands arising out of (A) your use of Freechat or Freechat software; or (B) your breach of these Terms, damages, debts, losses, costs, expenses (including legal and attorney fees) and liability.

No Liability to Third Parties

Various third parties may provide certain content, services, or software within Freechat as set forth in the "Third Party Content and Services" and "Third Party Software" sections of these Terms.

These Terms govern your relationship with us. Your dealings with all third parties (including those found, promoted, linked or otherwise via Freechat) are solely between you and the relevant third party. Except in accordance with applicable mandatory laws and regulations, we will not be liable for any third party (including any content, services or software provided by such third party within Freechat) despite your existence through Freechat with any such third-party trade.

Termination Clause

These Terms apply from the time you use Freechat until you or we terminate your Freechat access.

You may terminate your use of Freechat or any services within Freechat at any time (including your disagreement with the impending changes to all or part of Freechat's services that we have notified you about). If the terminated service is a paid service, we may deduct a reasonable proportion of the fee from the refund to compensate for the costs we incur because of the termination of the relevant service.

We may suspend or terminate your access to your account or any or all Freechat services if:

We are conducting Freechat maintenance or support;

make changes to Freechat as notified to you by us;

we reasonably believe that you have breached these Terms;

Your use of Freechat poses a risk to us or other Freechat users, may expose us to the potential threat of third-party claims, or may affect our reputation;

you have not used Freechat for a long time;

Suspend or terminate as required by applicable law; or to the extent permitted by applicable laws and regulations, for any other reason in our sole and absolute discretion, and where reasonably practicable, we will give you prior notice of suspension or termination of the service.

If we suspend any or all of your access to Freechat, to the extent permitted by applicable laws and regulations in your jurisdiction: (a) you remain responsible for all charges accrued on the suspension date (including charges incurred before the suspension date but (b) you remain responsible for any applicable costs incurred by continuing to access any part of Freechat.

If you or we terminate your access to Freechat (in whole or in part), you agree that: (a) all of your rights under these Terms will terminate; (b) you will remain responsible for all charges accrued on the date of termination (included in and (c) you will immediately and permanently delete all copies of the Freechat software in connection with the termination and will immediately cease to access and use any such Freechat software.

Retention and Backup of Your Content

Upon termination of these Terms, we will only retain and use your Content in accordance with these Terms and the Freechat Privacy Policy (if your Content contains personal information). Subject to the Freechat Privacy Policy and the applicable laws and regulations of your jurisdiction, we do not guarantee the return of any of your Content to you if we suspend or terminate all or part of the Freechat Services, or if your access to Freechat is terminated by you or us, and we may permanently delete your Content at any time, without notice, following termination. Please make sure to back up your content regularly.

General Terms

Subject to the applicable laws and regulations of your jurisdiction, these Terms set forth your entire agreement with us with respect to the Freechat Service, and you agree that you will have no claim against us for any representation not expressly set forth in these Terms. The word "including" has the meaning of "not limited to". The invalidity of any provision (or part of any provision) of these Terms will not affect the validity or enforceability of any other provision (or the remainder of such provision). If a court determines that we cannot enforce any part of these Terms in the manner originally set forth herein, we may substitute a similar provision for such provision to the extent enforcement is permitted by applicable law or regulation, and the remaining provisions of these Terms will remain unchanged. No delay in enforcing any provision of these Terms shall be construed as a waiver of any right under such provision. Any rights and liabilities of these Terms (by their nature) shall survive the termination or expiration of these Terms, including any obligations relating to the liability or indemnification, if any, of the parties.

No person (other than you and us) shall be entitled to enforce these Terms against any person under the Contracts (Rights of Third Parties) Act 2001 (Chapter 53B of the Laws of Singapore) or otherwise and you may not sublicense, assign or transfer these Terms or any of your rights or liabilities under these Terms without our prior permission. We may freely assign or transfer these Terms or our rights and responsibilities under these Terms, in whole or in part, without your prior consent or prior notice to you. We may subcontract our performance of any part of these Terms at any time without your prior consent or prior notice to you.

Governing Law and Dispute Resolution

Except to the extent that (a) any applicable additional terms incorporated into these Terms provide otherwise, or (b) the applicable laws and regulations of your jurisdiction provide otherwise (for example, you may have a statutory right in your jurisdiction to bring or defend a claim in a local court (including a small claims court).

These Terms and any dispute or claim arising out of or relating to these Terms will be governed by the laws of Singapore; and any dispute, controversy or claim (whether in contract, tort or otherwise) arising out of, relating to or in connection with these Terms, including the existence, validity, interpretation, performance, breach or termination of these Terms, will be referred to the Singapore International Arbitration Centre Arbitration Rules in effect at the time of the filing of the Notice of Arbitration in accordance with the The final decision shall be submitted to the Singapore International Arbitration Centre in accordance with the Singapore International Arbitration Centre Arbitration Rules in force at the time of the filing of the Notice of Arbitration. The place of arbitration shall be Singapore. The arbitral tribunal will have only one arbitrator. The language of the arbitration proceedings will be English.

Freechat Terms of Service (U.S. Specific Terms)

If you are a Freechat user in the United States, the following additional terms: (a) are incorporated into these Terms; (b) apply to your use of Freechat; and (c) may override the main terms of these Terms in the event of any inconsistency.

If you are a Freechat user in the United States, the following provisions expressly supersede the "Governing Law and Dispute Resolution" section of these Terms above.

If you reside (or have your principal place of business) in the United States, the laws of your state will govern all claims (regardless of conflict of laws principles), except that the Federal Arbitration Act will govern all provisions relating to arbitration. You and we irrevocably agree to the exclusive jurisdiction and venue of the courts of the State of California or the United States federal courts for all disputes arising out of or relating to these Terms that are tried in court (other than arbitration).

The parties hereto irrevocably waive any and all rights to a jury trial or class action in any proceeding arising out of or relating to these Terms or the transactions under these Terms.

In the event of a dispute, you and we agree to attempt to resolve it informally within the 60-day period. If you and we are unable to reach an informal resolution within the 60-day period, you and we agree to engage in binding individual arbitration before the American Arbitration Association ("AAA") pursuant to the Federal Arbitration Act ("FAA"), (which arbitration will be conducted under the AAA's Commercial Arbitration Rules) and may not be brought before a judge or jury in a court of law. Instead, a neutral arbitrator will render an award, and that arbitrator's award will be final, except for limited appeal rights under the FAA. Class actions, class arbitrations, private attorney-general actions, and any other actions acting in a representative capacity are not permitted, nor is the consolidation of individual actions without the consent of the parties. This provision applies to the extent it conflicts with the AAA's Commercial Arbitration Rules or Consumer Arbitration Rules. You and we must submit any claim or dispute (other than intellectual property disputes) to arbitration within one year of the date the action was first filed. If a class action waiver (class action waiver) is found to be unlawful or unenforceable for all or part of the dispute, that part cannot be arbitrated, but will remain in court and the remainder will be arbitrated. If any other provision of the arbitration clause is found to be unlawful or unenforceable, that provision will be severed, but the remaining provisions of the arbitration will still apply.

If you are a resident of the State of California, then (except to the extent prohibited by applicable law) you agree to waive Section 1542 of the California Civil Code and any similar provision in any other jurisdiction (if you are a resident of such other jurisdiction) which provides that "A general release does not include a general release that the creditor or the releasing party did not know or know of at the time of enforcement of the release without knowledge or suspicion of the existence of a claim in its favor that, if known to the creditor or releasing party, would have materially affected the settlement between it and the debtor or the released party."

Freechat Terms of Service (Australia-Specific Terms)

If you are a Freechat user in Australia, the following additional terms (a) are incorporated into these Terms; (b) apply to your use of Freechat; and (c) may override the main terms of these Terms in the event of any inconsistency.

to the maximum extent permitted by applicable law or regulation, all warranties, guarantees, representations or other terms and conditions, express or implied, relating to these terms or their subject matter, but not included in these terms, are excluded from these terms.

nothing in these terms shall exclude, limit, or modify any warranty, guarantee, term or condition, right or remedy implied or imposed by any applicable law or regulation which cannot be lawfully excluded, limited or modified.

If any applicable law or regulation implies or imposes any warranty, condition, guarantee or term that cannot be excluded ("Non-Excludable Terms*"*), and we are able to limit your remedies for breach of the Non-Excludable Terms, our liability for breach of the Non-Excludable Terms is limited to one or more of the following, at our option.

in the case of goods, replacement of the goods or provision of similar goods, repair of the goods, payment of the cost of replacing the goods or payment of the cost of purchasing equivalent goods, or payment of the cost of repairing the goods; or in the case of services, resupply of the services or payment of the cost of resupplying the services.

Freechat Terms of Service (UK and EU Specific Terms)

If you are a Freechat user in the United Kingdom or the European Union, the following additional terms: (a) are incorporated into these Terms; (b) apply to your use of Freechat; and (c) may override the main terms of these Terms in the event of any inconsistency.

Refunds

If you purchase and pay for a Freechat or service provided by us (not provided by a third party), you may receive a refund if we receive your request for a refund within 14 days from the date you complete the relevant purchase. If you have already used a portion of the relevant product or service, you will only receive a refund for the unused portion. In the case of downloaded or streamed products, you acknowledge that by continuing to download or stream such products, you will not be entitled to receive a refund for such purchases.

Dispute Resolution - EU Only

Notwithstanding the provisions of the "Governing Law and Dispute Resolution" section of these Terms, if you reside in the European Union and are a "consumer" as defined in EU Directive 83/2011/EU, any dispute, controversy or claim between us and you arising out of or relating to these Terms (whether in contract, tort or otherwise) will be submitted for final adjudication to the courts of your location, residence, or domicile. dispute, controversy, or claim (whether in contract, tort or otherwise) between us and you arising out of or in connection with these Terms will be submitted for final determination to the courts of your location, residence, or domicile. Loss or Damage

If any Freechat service or feature we provide causes damage to your device or digital content as a result of our failure to use reasonable maintenance and technology, we will repair the damage or pay you reasonable compensation for such damage. However, we will not be liable for damages that could have been avoided by using the updates provided to you free of charge as recommended by us, or if you failed to properly follow the installation instructions or our recommended minimum system requirements. Freechat and services or features accessible through Freechat are for home and private use only. We shall not be liable to you for any loss of profit, loss of business, business interruption, or loss of business opportunity if you use Freechat or the services and features for any commercial or business purpose.

Freechat Terms of Service (Singapore-Specific Terms)

Unless you have consented, or unless otherwise stated in our Freechat Privacy Policy, we will only use your information for the following purposes.

Planning requirements relating to the operation or maintenance of the network for any of the services we provide, excluding activities of a commercial nature such as business, marketing, or product development.

To facilitate our interconnection and interoperability with such other telecommunications licensees in connection with the provision of the services; to provide assistance to law enforcement, judicial or other government agencies.

Complying with any regulatory requirements for the use of your information authorized by the Infocommunications Media Development Authority (e.g., for the provision of directory assistance services).

to manage bad debts and prevent fraud in connection with the provision of the Services; and/or to provide information relating to mobile roaming to mobile roaming customers in Singapore.
